Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and TinSuite Inc. ("TinSuite", "we", "us") governing your use of tinsuite.com, our APIs, mobile apps, and related services (collectively, the "Service").

By signing up, accessing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. Account & eligibility

  • You must be 18+ and legally able to enter contracts.
  • You're responsible for keeping your password secure and for all activity under your account.
  • One human per account. Don't share login credentials.
  • You must give us accurate company information. Material misrepresentation is grounds for termination.

3. Subscriptions and billing

  • Free plan is free forever, with feature limits.
  • Paid plans bill monthly or annually in advance. Each plan includes a 14-day free trial unless noted.
  • You authorize us (through Stripe) to charge your payment method on each renewal until you cancel.
  • Cancellation takes effect at the end of the current billing period — no prorated refunds for partial months unless required by law.
  • If a payment fails, we'll retry per Stripe's default schedule (3 retries over 3 weeks). After that, your subscription is canceled and account downgraded to Free.
  • We may change pricing for new sign-ups at any time. Existing subscribers get at least 30 days' notice before any price increase.

4. Acceptable use

You agree NOT to:

  • Use the Service for illegal activity, money laundering, or to evade taxes.
  • Reverse engineer, scrape, or clone the Service without our written permission.
  • Send spam, phish, or transmit malware via emails sent through the Service.
  • Resell or sub-license the Service without becoming a TinSuite Partner.
  • Probe, attack, or attempt to gain unauthorized access to our infrastructure.

We may suspend or terminate accounts that violate these rules, with or without notice.

5. Your data & ownership

  • You own your data. Invoices, customers, transactions, settings — all yours. We're a steward, not an owner.
  • You can export your data at any time from Settings → Privacy in JSON format.
  • You can delete your account, which begins a 30-day soft-delete window followed by permanent erasure (subject to legal retention requirements like tax records).
  • You grant us a limited license to host, process, and back up your data solely to operate the Service.

6. Service availability & SLA

  • We target 99.9% monthly uptime for paid plans.
  • Planned maintenance is announced at status.tinsuite.com.
  • For Business plan customers: if uptime falls below 99.9% in a calendar month, you can request service credits — see SLA addendum.
  • The Service is provided "as is". We're not liable for losses from downtime, third-party failures (Stripe, Plaid, your bank), or force majeure events.

7. Intellectual property

  • The TinSuite name, logo, and software are owned by TinSuite Inc.
  • You may use our marks in fair-use contexts (saying you're a TinSuite customer) but not in a way that implies endorsement or partnership without our written permission.
  • Feedback you give us (suggestions, ideas) — we may use without obligation.

8. Third-party services

Some features rely on third-party services we integrate with: Stripe (payments), Plaid (bank connections), Resend (email delivery), Track1099/TaxBandits (1099 e-filing), and others.

Their separate terms apply when you use those features. We're not liable for outages, billing changes, or data practices of these providers.

9. Disclaimers and limitation of liability

TinSuite is not a CPA, attorney, or financial advisor. The Service generates accounting records, tax forms, and reports based on data you input — accuracy is your responsibility, and you should review with a qualified professional before filing or making material business decisions.

To the maximum extent permitted by law, our total liability for any claim arising out of these Terms or the Service is limited to the greater of (a) what you've paid us in the 12 months preceding the claim, or (b) $100.

10. Indemnity

You agree to indemnify TinSuite for any claims, damages, or expenses arising from your misuse of the Service or violation of these Terms.

11. Termination

  • By you: cancel anytime from Settings. Service continues until end of current period.
  • By us: we may terminate with 30 days' notice, or immediately for material breach.
  • Upon termination, you have 30 days to export your data before permanent deletion.

12. Governing law & disputes

These Terms are governed by the laws of Delaware, USA (without regard to conflict-of-laws principles). Disputes will be resolved by binding arbitration in Wilmington, Delaware, except either party may seek injunctive relief in court.

EU/UK customers: nothing in these Terms affects your statutory consumer rights.

13. Changes to these Terms

We may update these Terms from time to time. For material changes (e.g., pricing, scope of license), we'll notify you at least 30 days in advance via email and in-app banner. Continued use after that date means you accept the new Terms.
